These terms and conditions ("Terms") govern your use of TapSpot's website and services. By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access our services.
"Service" refers to TapSpot's website and QR code management platform, including dynamic QR
codes, digital menus, allergen matrixes, staff-controlled menu updates, and links pages.
"User," "you," and "your" refers to you, as the user of the Service, whether an individual
or a business entity.
"Business User" refers to a User who utilises the Service for commercial purposes, such as
creating digital menus or allergen matrixes for their business.
"Staff User" refers to an individual authorised by a Business User to access and update
content within the Service on behalf of the Business User.
"User Content" refers to any data, information, text, graphics, photos, profiles, audio,
video, links, or other materials that you or your Staff Users upload, post, publish,
display, link to, or otherwise make available through the Service.
"Privacy Policy" refers to TapSpot's separate Privacy Policy, which details how we collect,
use, store, and disclose your personal information, and is incorporated into these Terms by
reference.
"We," "us," and "our" refers to TapSpot.

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately if you become aware of any unauthorised use or access to your account. Your access to and use of the Service is non-transferable. You must be at least 18 years of age to use the Service. By agreeing to these Terms, you represent and warrant that you are at least 18 years of age and that your use of the Service complies with all applicable laws and regulations.
Permission is granted to temporarily access and use our Service for personal, non-commercial transitory viewing, and for Business Users, to operate their business activities as intended by the Service. This is the grant of a licence, not a transfer of title, and under this licence you may not:
You are solely responsible for all User Content that you or your Staff Users post, publish, display, link to, or otherwise transmit through the Service. This includes, but is not limited to, content for digital menus, allergen matrixes, PDFs, and any external services linked via dynamic QR codes.

TapSpot reserves the right, but is not obligated, to monitor, review, verify, edit, modify, or delete any User Content or disable any QR code links that violate these Terms, are reported as inappropriate, or are deemed illegal. We do not control the accuracy of User Content and disclaim all liability for comments, views, or remarks in User Content.
By providing User Content, you grant TapSpot a non-exclusive, royalty-free, worldwide, perpetual, irrevocable, and sublicensable licence to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content in connection with the operation and improvement of the Service.
The Service may contain links to websites or applications owned and operated by third parties. TapSpot exercises no control over these third-party products, services, or websites and is not responsible for their performance, content, or any damage or loss caused by your use of or reliance on them. You acknowledge that if you follow a link or otherwise navigate away from the Service, these Terms will no longer govern. You should review the applicable terms and policies, including privacy and data gathering practices, of any third-party websites to which you navigate.
If you are a Business User utilising features that allow staff members to update content (e.g., staff-controlled menu updates), you acknowledge and agree that:
The Service and its original content, features, and functionality, including but not limited to the software, QR code generation technology, design, text, graphics, logos, and trademarks, are owned by TapSpot or its licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. All intellectual property rights in the Service are reserved.
You retain all intellectual property rights to your User Content. However, by providing User Content, you grant TapSpot the licence described in Section 6 to enable us to provide and improve the Service.
You must not republish, sell, rent, sub-licence, reproduce, duplicate, copy, modify, distribute, transmit, display, perform, or create derivative works from any material from the Service or TapSpot's intellectual property, unless expressly permitted by these Terms or with our prior written consent.
Certain aspects of the Service may be provided for a fee, based on various subscription plans and usage limits. You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Service.
All fees are exclusive of applicable taxes, levies, or duties imposed by taxing authorities (collectively "Taxes"), and you shall be responsible for payment of all such Taxes. Payment processing may be facilitated by third-party providers, and you agree to their terms and conditions. We reserve the right to delay or cancel any payment for purposes of preventing unlawful activity, fraud, risk assessment, security, or investigation.
Subscription fees are generally non-refundable, including for unused services, unless otherwise stated in your specific subscription plan or as required by UK consumer law. For consumers, you have a 14-day "cooling-off period" from the date of purchase of a new subscription, during which you can cancel for any reason and receive a full refund. To exercise this right, you must notify us clearly within this period. Refunds will be processed within 14 days of cancellation.
If you fail to make any payment due within 10 days after we have provided you with notice of such failure, we reserve the right to immediately suspend the Services. Any suspension of the Services due to non-payment shall not relieve you of your payment obligations.
TapSpot retains complete control over the Service and may alter, amend, or cease the operation of the Service, or any part thereof, temporarily or permanently, at our sole discretion, often without prior notice. We will not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service.
These Terms are effective unless and until terminated by either you or us. You may terminate these Terms at any time by deleting your account. We reserve the right to terminate our relationship with you without notice and with immediate effect if you, in any way, breach these Terms.
Upon termination of your account or expiry of your subscription, we will delete your saved information in accordance with our Privacy Policy. You acknowledge that upon termination or expiry, your dynamic QR codes and linked content may cease to function or revert to a static default, and TapSpot is not liable for any loss or damage arising from such cessation of functionality.
TapSpot will use commercially reasonable efforts to ensure uninterrupted availability and error-free transmissions but does not guarantee them. Access may be occasionally suspended or restricted for repairs, maintenance, or new features. We are not responsible for delays or failures due to causes beyond our reasonable control (force majeure events), such as accidents, acts of God, labour disputes, government actions, material shortages, terrorism, pandemics, or internet instability.
We collect, use, store, and disclose your personal information in accordance with our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy for detailed information on our data practices.

For certain data, such as content linked via dynamic QR codes (e.g., digital menus, allergen data), TapSpot acts as a "data processor" on your behalf, meaning you are the "data controller" and are responsible for ensuring the lawful basis for processing such data, including obtaining any necessary consents from individuals whose data is included. For your account data, TapSpot may act as a data controller.
We implement technical and organisational measures designed to safeguard your data from accidental loss and from unauthorised access, use, alteration, or disclosure. TapSpot does not warrant that the Service will be uninterrupted, secure, error-free, or accessible at all times. We do not guarantee the accuracy, completeness, or usefulness of any User Content, including information provided in digital menus or allergen matrixes, and you rely on such content at your own risk. TapSpot is not liable for any loss or damage arising from the accuracy or consequences of user-linked content, especially health or allergen information.
In no event shall TapSpot, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any User Content; (iv) unauthorised access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.
Our total aggregate liability to you for any and all claims arising out of or in connection with these Terms or your use of the Service shall not exceed the amount paid by you to TapSpot for the Service in the twelve (12) months preceding the event giving rise to the liability, or fifty Great British Pounds (£50), whichever is lower.
If the Service, or any information or services on the website, are provided free of charge, TapSpot will not be liable for any loss or damage of any nature arising from their use.
You agree to indemnify and hold harmless TapSpot and its directors, employees, partners, agents, suppliers, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to legal fees), arising from (i) your use of and access to the Service; (ii) your breach of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your User Content caused damage to a third party.
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by the courts of England and Wales.
For consumers, we are committed to resolving disputes fairly. If you have a complaint, please contact us directly at legal@tapspot.co.uk. We will endeavour to resolve your issue promptly. You may also have the option to pursue Alternative Dispute Resolution (ADR) before taking legal action. Information on ADR options will be provided upon request or if a dispute cannot be resolved directly.
By creating an account with us or providing us with your contact information (e.g., phone number, email address), you consent to receiving electronic communications from us. Such communications may include, but are not limited to, requests for authentication, receipts, reminders, notifications regarding updates to your account or account support, and, with your explicit consent, marketing or promotional communications.
You acknowledge that you are not required to consent to receive promotional communications as a condition of using any Service. You may opt-out of receiving promotional email communications by following the unsubscribe options in such emails or by managing your communication preferences in the app. You acknowledge that opting out of certain communications may impact your use of the Service.
We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
